In-house Corporate Paralegal (Start-Up) 100% Remote... Full-time, part-time or hourly Summary Corporate paralegals provide legal support with general corporate maintenance and complex transactions for startups, emerging companies and venture capital funds. Specific duties and responsibilities include, but are not limited to: Responsibilities • General corporate client maintenance, including maintaining corporate records, stock and option administration. • Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents • Assist in preparing preliminary draft of operative documents relating to offerings • Coordinate closings and prepare related agreements for transactions, including SAFE financings, preferred stock financings and M&A transactions • Prepare stock certificates and maintain capitalization tables and option records (Carta, Pulley etc.) • Prepare drafts of various agreements, certificates and closing documents. • Perform corporate entity searches. • Setup and monitor corporate extranets. • Prepare legal opinions and assemble opinion back-up • Draft and file corporate and securities filings including Blue Sky filings • Organize corporate records and conduct due diligence reviews • Document management and preparing data rooms • Signature requests and similar organizational tasks • Other tasks as assigned or required Requirements • Bachelor’s degree • 2-5+ years of experience in startup and transactional practices • Available to work overtime, as required • Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred • Familiarity with Carta, Pulley, or similar equity tracking system • Previous law firm experience • Excellent oral and written communication skills • Strong attention to detail with the ability to manage multiple priorities and track extensive details to deliver excellent client service • Ability to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly • Excellent organizational skills Compensation $80,000.00-$135,000.00, plus bonus Apply Job!
